Convoluted!

Just trying to unravel some of the threads here

Thames Plaza PLC (TP) has 3 charges against them. Two of these are from Citizen Housing (Southend) CH(S). (One other was fromTopland Jupiter (TJ)). Two of these were on the on same day in May 2019). TP has two directors, Ron and Jack. Patrick van der Waag, the current director of SUFC resigned the same day as the registered charges above). TP hasnt filed accounts yet.

Topland Jupiter loaned £5m to Thames Plaza last October. TJ are well known as the holding company of the billionaire Zakay brothers.

Now, Citizen Housing LLP and Allied Housing LLP have a weird internecine relationship. AH is a member of CH and vice versa. AH is also a vehicle for Alexander Dellal (above).

CH 1 Ltd has 2 officers - Alex Dellal, and you guessed it, Jack Martin. This began in July 2019.

CH (Southend) Ltd has 2 officers - Alex Dellal, and Janine Bell. This is who loaned TP money.

Jack Martin also has a company called Lenrose Investments - no filing available and Lenrouse Housing, who havent done anything apart from change their name from Lenrose Affordable Housing. There is a company called Lenrose Affordable Housing (LAH), who used to be called Megrez Investments up to January this year. Megrez was a dormant company. Jack is an officer, but gave control over to Lenrose Housing last year.

Thames Village P2 Ltd - has Jack also as a director and Ron. This is based at RH (unlike the others above, based in London). This was only formed last August, so no filing.

Roots Hall Ltd only just made its confirmation statement (3/2/20). This confirms its only shareholder - Elounda, which was transferred from SEL last July.

Keep up at the back!

Elounda was formed in August 2018. It has 2 charges. The same as above from Topland Jupiter and Allied Commercial acting as Citizen Housing Southend. It has 4 officers - Ron, Jack, and his wife and other son.

So, in a nutshell, there's two big players involved in capitalisation: the Dellals at Allied Commercial and the Zakays at Topland. Alex Dellal seems to very involved especially with Jack.

Ron has 21 appointments - even if stated as dormant, confirmation statements still made, in order of importance:

RHL, SUFC -ibid
Martin Dawn PLC - extended accounting period from 07/19 to 01/20. Officers - Julie, Ron and Simon Wainwright - (SW is https://www.linkedin.com/in/simonwainwright/ - joined in 2015, quite a senior player). RM has overall control. Only 2 outstanding charges - one from Redrow Homes at Ferry Rd, Benfleet from 2019, and one from McLaren Construction in 2013. However, see https://hardwicke.co.uk/insolvency-proceedings-guarantees-and-contractual-pre-conditions/
SEL UK - one officer Ron, owner MD. SEL owes a lot of cash (2018) to various parties. They own 70% of SUFC. Mezcal own 50% of SEL, who are in BVI and therefore untraceable.
Thames Plaza PLC (as above)
Thames Village P2 (as above)
Elounda (as above)
TRIBECA SOUTHEND HOTEL OPCO LIMITED (accounts overdue and they tried to strike off this company last year - RM only officer). Owned by Tribeca Southend Hotel Propco Limited (whose accounts are also overdue and been tried to strike off).
Hillpad (owned by MD, dormant)
Hartlands (Thundersley) - owned by RM, owes MD £60k, no revenue
Soccer Stadium PLC - dormant, RM and PVW officers. SEL owner
MD Airways LLP - dormant, RM and MD officers, RM owner.
Martin Dawn (Thundersley) - see MD Airways
Speed 9236 - Julie and Ron officers, RM owner, dormant
Martin Dawn (Plymouth) - Julie and Ron officers, RM owner, dormant
Allied Coal - Julie and Ron officers, MD owner, dormant
Martin Dawn (EA) - Julie and Ron officers, MD owner, dormant
R. Martin Developments - Julie and Ron officers, MD owner, dormant
Martin Dawn (Cheltenham) - £3.7m in debt. Doesnt generate revenue but ongoing concern thanks to parent company Martin Dawn
Martin Dawn (Leckhampton) - GK and PVW recently resigned in 2017 and 2018. £20m in T/O in 2017 but only £2m profit. Nothing in 2018. Owed money by Martin Dawn, MC Chelthenham (its parent) and RHL (although this may have been written off by now)

Phew! Loads to have a look at.

Here's a video of a Southend fan trying to understand what Jack's role is exactly......

Great work Napster, certainly makes things a lot clearer. I have produced this chart so that everyone can see exactly what this all means.

I missed some things off, so have now edited it, can you spot the differences?

Don‘t we need to separate South Eastern Leisure into South Eastern Leisure UK Ltd and South Eastern Leisure Company British Virgin Isles) and there’s also Mezcal Investments (BVI) which own half the shares in SEL UK Ltd and have some hefty loans in the system.

Fantastic sleuthing boys, very well done and fascinating stuff, although I shouldnt , its hard not to pe- myself laughing !!

Have amended to read South Eastern Leisure UK Ltd, regarding South Eastern Leisure Co Ltd (British Virgin Islands) I am not sure it is still in existence, according to the link below it has been closed down with the last accounts filed 31st March 2005.

Link

Have added Mezcal Investments Ltd (British Virgin Islands) (How could I forget them?) who I believe have shares in South Eastern Leisure UK Ltd, involving a sum of £5,521,936 according to this document on Companies House

Link

Also according to this Guardian Newspaper Report in April 2015 "Mezcal Investments, listed in the British Virgin Islands, owns shares in company which holds 70% of the club".

I did add Mezcal above tbf

Here is an In depth report from 2018 about Football Clubs funding from offshore companies, includes a bit about Southend United and Mezcal Investments Limited British Virgin Islands.

Convoluted it certainly is but the underlying question surely is this. Does this tangled web appear to make it more or less likely we will have a team to support next season? In the murky depths of this shadowy underworld, there appears to be some very big players. Dodgy they may or may not be but will they allow Ron to fail???

According to SEL UK Ltd Accounts for 2017/18 South Eastern Leisure Company (BVI) is one of its Subsidiaries along with SUFC Ltd and Soccer Stadium PLC.

Martin Dawn Plc and Mezcal each own 50 % of the shares in SEL UK Ltd. SEL UK Ltd owns approximately 70% of the shares in SUFC. It also owns Boots and Laces and charges SUFC rent and a management fee. I think Roots Hall ltd owns Roots Hall and was a Subsidiary of South Eastern Company Ltd (BVI). SUFC are charged rent by Roots Hall Ltd.

South Eastern Leisure Company are owed a lot of money by SUFC- the bulk of the debt owed to the SEL UK GROUP.

The ownership of Roots Hall Ltd transferred to Elounda LLP last July. They just had to buy the shares.

Ron of course has a finger in every pie.

What this shows me is that by having fingers in so many pies, is it really surprising that Ron has taken his eye off the ball?
Not having a CEO is unforgiveable and is the key to many of our problems.

Thank you napster for all the detective work to give us that information, Just shows us what a tangled Web RM has woven and how many others have a financial interest. Anyone who think RM 'just wants the best for the club' is dreaming.
